1. Definitions

Upon purchasing the e-learning content, individual access to all the appropriate content, information and materials (including but not limited to video clips and additional resources) is granted to each user for a period of 365 days from the original date of purchase. At the end of the 365-day period, your access to the e-learning package will expire and no further access to the e-learning package will be available thereafter. Upon purchasing the e-learning package, the appropriate e-learning lessons may be accessed as many times as required during the 365-day period, if they are accessed solely for the personal use of the customer, unless specifically stated otherwise within these terms and conditions or agreed otherwise by LEORON PDI. During this period, content may be updated and made available to the client.

If the client obtains the eLearning content with the purpose of deploying the SCORM compliant content to its own LMS, LEORON PDI is not obliged to provide content updates. During deployment of the content on client's LMS, LEORON PDI will only offer technical support in terms of SCORM compliance verification, visibility on the Learning Management System of the client, and other technical assistance during the deployment process in the first year.

When the client uses LEORON PDI LMS (Microsite), the client is obliged to pay the price per user. In this case, the provider is obliged to offer full technical support to the client 24/7 until the end of the contractual period.

Upon accepting the offer and receiving the Purchase Order, LEORON PDI is obliged to start with the technical implementation within 90 days, but no longer than 120 days. This phase typically is entails:

- Development of a white-labeled microsite with client's branding.

- Deployment of the e-learning catalog of courses on client's microsite.

- Creating user accounts and assigning learning plans to user groups.

- Testing the system, and training the administrator from the client's side for independent platform administration.

2. General Terms

Validity of this Quotation is 30 Days from the date of acceptance.

All rights not expressly granted herein are reserved.

3. Deliverables

E-learning online courses, accessible through the LEORON LMS (Microsite) 24/7 provided there is Internet connection.

E-learning online courses are offered bilingually, in English and Arabic language.

Clients' microsite is white labeled, fully branded with client's logo and desired colors.

Clients microsite is administrated by the client's administrator.

All users are invited by the client's administrator.

The number of users can be increased with official written letter to the provider.

Client's administrator is responsible for the reports and exam results.

4. Payment Terms

100% payment of the amount in maximum 15 days upon the receipt of the invoice.

The payment shall be conducted either in cash, credit/debit card, cheque or bank transfer.

The stated amount is exclusive of VAT, Withholding Tax and other duties, taxes and transfer related charges which if applicable are payable by the client in addition to the stated amount. Any sales taxes relevant to the country where the course takes place will be added to the course fees in accordance with that country's tax regulations.

All discounts, whether advertised or stated in correspondence, are mutually exclusive i.e. only one discount can be applied to any one booking.

Overdue payment may incur penalty charges including removal of any discounts.

5. Cancelation Policy

All cancelations and postponements shall be done in written form. In case of client cancelation:

- Client has the right to use the refund policy within 30 days from the day that LMS is activated.

- Client has the right to use the refund policy and/or request new course if the actual course is not meeting their needs and expectations.

- All refund requests are done in a written form and detailed explanation.

- LEORON will not take responsibility If a learner cannot access the course online because they fail to meet the required system requirements because of weak Internet coverage.

6. Intellectual Property of the E-Learning content

The training material is property of LEORON PDI.

This training material has been prepared, maintained and distributed by LEORON PDI.

The use of the training material on our courses is restricted to the Registered User who has been provided with the e-Learning content via user access and in agreement with the client.

The Client shall not copy, share, modify, transmit, distribute, or in any way, exploit the copyrighted materials provided by LEORON PDI other than for their own individual training. Use for any other purpose is expressly prohibited by law and any violators will be prosecuted.

The Client shall not permit anyone outside of clients' employees to copy, use, modify, transmit, distribute, or in any way, exploit the copyrighted materials.

The materials made available by LEORON PDI are provided 'as-is' without warranties of any kind, either expressed, or implied, including, but not limited to, all implied warranties of merchantability, fitness for a purpose, title or non-infringement.

LEORON PDI does not warrant that the materials will be error free including technical inaccuracies, nor free of viruses, or other harmful matter. The entire cost of any necessary service, repair, or correction, is the Client's responsibility.

7. Access to the E-Learning platform

LEORON PDI shall not be responsible for conditions beyond LEORON's control related to the functionality of the LMS. Such conditions include, but are not limited to: force majeure, acts of God, power outages, and the acts of computer hackers and others acting outside the law. Also, from time to time, Access may be unavailable due to software issues, server downtime, increased Internet traffic or downtime, programming errors, regular maintenance of the system, and other related reasons on the client's IT infrastructure.

Users are solely responsible for ensuring that they have sufficient and compatible hardware, software, telecommunications equipment and Internet service necessary for use of the eLearning content.

8. Force Majeure

LEORON PDI shall not be liable to the clients or be deemed to be in breach of any agreement it has concluded with them for any delay in performing or failure to perform any of the LEORON PDI's obligations in respect of the services if the delay or failure was due to any cause such as war, warlike activities, fire, storm, explosion, national emergency, labor dispute, strike, lock-out, civil disturbance, actual or threatened violence by any terrorist group, newly enacted law or regulation or any other cause not within the control of LEORON PDI.

9. Non-Disclosure Provision

Each of the parties of this agreement in respect to any received information from the other party which relates to the administrative, financial or operational arrangements of the parties of this contract including but not limited to their products and services, customers, respective computer software, business operations, sales and marketing operations and other proprietary data shall:

- Hold such information secret and in strict confidence

- Not use such information in any way which would or might be detrimental to the interests of the disclosing party

- Not allow or assist directly or indirectly: any access, extraction, reproducing, disclosure, display, transferring or making otherwise any part of the information available to any person or entity other than himself/herself or the employees, directors and agents of his/her company

- Not make use, permit or assist the use, of such information relating to the other party, for the purposes or benefit of any person, company, business entity or organization whatsoever.

10. Governing Law

This contract shall be governed by and construed in accordance with the Laws and Regulations of the Kingdom of Saudi Arabia.
